The new Companies Ordinance (Cap. 622) and its subsidiary legislation (new CO) have been effective since 3 March 2014. The Companies Ordinance (Cap.622) (CO) has been amended to require a company incorporated in Hong Kong to identify persons who have significant control over the company and to maintain a significant controllers register to be accessible by law enforcement officers upon demand. A new Division 2A has been added to Part 12 of the CO and will come into effect on 1 March 2018. The Companies (Amendment) (No. 2) Ordinance 2018 (“the Amendment Ordinance”) will come into operation on 1 February 2019. The major amendments introduced by the Amendment Ordinance include (a) updating relevant accounting-related provisions, (b) expanding the types of companies eligible for reporting exemption, and (c) providing for miscellaneous matters in relation to various administrative, procedural and technical requirements regulating local companies and non-Hong Kong companies.
